Terms of Service

PGF Programme (UK) Ltd [13880252] owns and operates www.pgf.digital (the “Platform”). The Platform also includes all of the subdomains and any other media operated by PGF Programme (UK) Ltd (“us”, “our”, “we”).

This document sets out the terms for use of the Platform and governs all users (“Users“, “you”). We are committed to transparency, which includes providing a Terms of Use that is understandable and written in plain language. Because this document represents our agreement with you about your use of the Platform, please take the time to read this document.

Our Terms of Use (“Terms” or “Agreement“) also includes our Privacy Policy, Cookies Policy, Data Processing Agreement, and any other documents referred to by those agreements, and they, as a whole, govern any and all of the access to the Platform, whether you are a visitor or User.

1.   Introduction

We provide an online education platform for aspiring professional footballers or professional footballers and their family members. In addition to the educational content provided, there are other features that may be offered to the Users. The entire selection of tools and services offered via the Platform will be referred to in this Agreement as the “Services“.

By using our Platform in any manner you are expressly agreeing to, and give your consent to be governed by, these Terms. If you do not agree with these Terms or you do not wish to be bound by these Terms, you must not use or access the Platform or the Services in any manner.

Users assume full responsibility for the disclosure and use of any other personal information the User chooses to disclose on the Platform.

2.   Terms Applicable to All Users of the Platform

The following applies to all Users at any time you access and use the Platform.

(a)   Age of Access

You must be at least 18 years old to use the Platform and its Services. If you are under the age of 18 you may not use our Platform in any manner nor may you register for an account.

(b)   License to Users

We grant you a limited, non-exclusive license to access and use the Platform for your own personal educational purposes. This license is only for your use and may not be assigned or sublicensed to anyone else, without our  express written consent. Except as expressly permitted by us in writing, you will not attempt to reproduce the Platform or any content included on it (this includes any activity that would reproduce, redistribute, sell, create derivative works from, decompile, reverse engineer, or disassemble the Platform). You also agree that in exchange for this license you will not engage in any activity that would interfere with or damage or harm the Platform. Further, you will not share any of the content of the Platform or Services with any other person or entity. All rights not expressly granted by PGF Programme (UK) Ltd are reserved.

(c)   Code of Conduct

Our Code of Conduct includes

1. No Illegal Activity: Do not use the Platform for any illegal activity. You are not allowed to use our Platform to engage in any kind of conduct that violates any applicable law or regulation (including, without limitation, any laws regarding the export of data or software to and from the UK).
2. No Bad Code: Do not use the Platform to transmit, distribute, send, or otherwise expose the Platform or its Users to viruses, worms, or any other code that may be deemed dangerous, harmful, or destructive in any manner.
3. No Spamming: You may not use the Platform to engage in any activities that will result in sending spam to anyone on the Platform, including PGF Programme (UK) Ltd (and its employees) and other Users.
4. No Exploitation: You will not use the Platform to try to gather personal information on any other Users.
5. No Impersonation: You will not impersonate anyone on the Platform, including PGF Programme (UK) Ltd (and its employees) or any other person or entity.
6. No Data Mining or Bots: You may not use any data mining, robots, or similar data gathering or extraction methods.
7. No Use Other Than Intended: You may not use the Platform or any Content contained on the Platform for any purposes other than intended. This includes attempting to pitch to other Users for work.
8. No Prohibited Content: You must not post any content that contains material that is libelous, slanderous, pornographic, obscene, unlawful, threatening, hateful, violent, predatory, defamatory, or otherwise objectionable, all of which shall be determined in PGF Programme (UK) Ltd’s sole discretion.

If you violate this Code of Conduct, we reserve the right to remove you and any of the content you may post from the Platform. Whether conduct violates our Code of Conduct will be determined in PGF Programme (UK) Ltd‘s sole discretion.

3.   PGF Programme (UK) Ltd’s General Rights In Operating Its Platform

PGF Programme (UK) Ltd reserves the following rights over the Platform, namely we:

1. may modify, terminate, or refuse to provide Services at any time for any reason, without notice.
2. may remove anyone from the Platform at any time for any reason, solely in its discretion. This right is not modified by any other section of this Agreement.
3. reserves the right to access your account in order to respond to requests for technical support, to maintain the safety and security of the Platform, and for other legitimate business purposes, as necessary, in its discretion.
4. may, but has no obligation to, monitor any content that appears on the Platform or review any conduct occurring through the Platform, including any interactions between Users and our employees.
5. reserves the right to modify, suspend, or alter its refund policy, at its sole discretion.
6. may keep a copy of your content if you close your account. You grant us a non-exclusive, perpetual, irrevocable license to maintain such archival copy for compliance with any relevant laws and regulations and for our internal business purposes, subject to applicable law.
7. reserves the right to remove you without warning if you violate any of the provisions of this Agreement.
8. has, in its sole discretion, an absolute right to modify, change, alter, suspend, or terminate any provision of this Agreement without warning at any time.

4.   Intellectual Property Rights

All intellectual property rights in or arising out of or in connection with the Platform and Services are owned by us, and you shall no right or claim over them.

5.   Third Party Offerings

Through the Platform, you will have the ability to access content, links to websites, and services provided by the authors of the Platform and other third parties (“Third Party Offerings“). Your use of any Third Party Offerings provided on this Platform or a third party website is at your own risk. We do not monitor or have any control over, and makes no claim or representation regarding Third Party Offerings and accepts no responsibility for reviewing changes or updates to, or the quality, content, policies, nature or reliability of, Third Party Offerings. You should review applicable terms and policies, including privacy and data gathering practices, of any third party, and should make whatever investigation you feel necessary or appropriate before proceeding with any transaction with any third party.

6.   Payments

To access the Services, you must pay a one-off registration fee (”Registration Fee”). The Registration Fee may vary from time to time and be changed by PGF Programme (UK) Ltd without any warning. Once you pay the Registration Fee, you will be able to access the Services for three months. To continue to access the Services, you must pay a subscription fee every three months (“Subscription Fee”). The Subscription Fee will automatically be debited from the same bank account that you provide us when you pay the Registration Fee.

Should we be unable to process the Subscription Fee at any time, you will lose access to the Services. If you believe we have withdrawn your access to the Services by mistake, please contact us.

7.   Account Ownership

1. Once you register, you are not entitled to share your account details or the Services with any other person or entity outside of your immediate family. Immediate family includes your children and spouse only.
2. Should you share the your account or the Services with anyone other than your immediate family, we reserve the right to immediately cancel your account without paying any refund to any fee you have paid PGF Programme (UK) Ltd.
3. You agree to keep all information on the Platform and included with the Services confidential.

8.   Refund Policy

You may receive a refund of the Registration Fee if you request such a refund within 48 hours of the Registration Fee clearing in our bank account. You are not entitled to any refund of the Subscription Fee.

9.   Cancellation of your Account

If you cancel your account, the cancellation will become effective at the end of the then-current billing cycle. When the cancellation becomes effective you will not be able to access any of the Services. You may restart your account and payment of the Subscription Fee at any time.

10.   Errors and Corrections

1. We do not guarantee that the Platform or any services offered through the Platform will be error-free or otherwise reliable, nor do we guarantee that defects will be corrected or that any offerings through the Platform will always be accessible. We may make improvements and/or changes to the Platform and their features and functionality at any time, and will use commercially reasonable efforts to avoid disrupting peak hours, though some downtime may occur.
2. We reserve the right to amend the Platform, and any service or material we provide on the Platform, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Platform is unavailable at any time or for any period. From time to time, we may restrict access to some or all of the Platform to Users.

11.   Limitations of Liability

In running the Platform, we require that you understand and agree that we are not liable for losses that may result from your use of the Platform and/or reliance on the Services and their accuracy. We also require that you understand and agree that the Platform and its content may not always be 100% accurate or reliable and that we do not warrant or guarantee that it will always be free of errors or defects. Any claims for damages against us will be limited to a portion of the fees you have paid us.

The Services and content included on the Platform does not constitute legal, accountancy, financial or any other professional advice and it should not be relied upon as such. You agree that we are not liable for any loss that you may suffer as a result of relying on the content included on the Platform or within the Services.

12.   Entire Agreement; Severability of Provisions; No Waiver

1. These Terms of Use incorporate by reference any notices contained on the Platform, including within the Privacy Policy, and constitute the entire agreement with respect to access to and use of anything offered by PGF Programme (UK) Ltd, including the Platform, Services, and any Content.
2. If any provision of this Agreement is deemed unlawful, void, or unenforceable by a court of law exercising proper jurisdiction, that provision shall be deemed severed from the remaining provisions and shall not affect their validity and enforceability.
3. No waiver of any provision hereof shall be valid unless in writing signed by the parties. Any failure to enforce any right or remedy hereunder shall not operate as a waiver of the right to enforce such right or remedy in the future or of any other right or remedy.

13.   Change to these Terms of Use

We may review and update this Agreement at any time in our sole discretion and it is your responsibility to stay informed of those changes. All changes are effective immediately when posted and apply to all uses of the Platform thereafter. Your continued use of the Platform following the posting of revised Terms of Use means that you accept and agree to be bound by the changes. Please check this webpage periodically for updates.

14.   Governing Law and Jurisdiction

This agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of England and Wales. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this agreement or its subject matter or formation.

This Privacy Policy applies to your use of learning experiences created by PGF Programme (UK) Ltd (“we,” “us,” or “PGF”) available on www.pgf.digital. At PGF, we are committed to protecting your privacy. This Privacy Policy explains how we collect, use, maintain, share and otherwise process information that we obtain about you (“personal information”).

Our policy is to keep personal information confidential and strictly safeguarded, and to use or disclose it only as needed to provide services to you or as permitted by law. Information We Collect

1.   Personal information you provide

When you visit our website, contact us, or otherwise engage with our learning platform, we may collect the following information that you provide to us:

• Job title and work division
• Email address
• Phone number(s)
• Your child(ren)’s name and other details
• Other information shared voluntarily by you on our learning platform

The last category may include more sensitive personal information such as:

• Information about your and/or your child(ren)’s race, ethnicity or religious beliefs
• Information about your and/or your child(ren)’s health, including any disability and/or medical condition
• Biometric information such as your face geometry

Our legal basis for processing the personal information above is our legitimate interest in providing our service to you. To the extent you disclose more sensitive personal information to us, we process that personal information pursuant to your explicit consent.  

2.   Information we automatically collect

When you visit our website, we collect certain types of information to understand how many unique visitors use our website, how they use it, and how we can enhance the website. PGF has a legitimate interest in this information in order to manage its website. This includes information such as browser type, IP address, date and time of visit, average time spent on the website, cookie ID, pages visited, and any site that referred you to our website. If you access our website through your mobile device, we may collect information such as your device ID and information about your hardware or software. We do not use this information to profile individual users or to advertise or market to you. Our legal basis for processing this information is our legitimate interest in conducting web analytics about how you use our website.

How We Use and Disclose Information

For example, we may disclose some of your personal information to third parties that host the courseware or integrate with the courseware in order to enhance learning experience, like video and chat collaboration tools, assessment and testing, and content hosting companies, among others. We may collect biometric information about you to verify your identity when you use our services. We may also use some personal information to issue and distribute certificates of completion upon successful completion of all course requirements, which may require sharing personal information with the printing and distribution centre.

We partner with certain third parties to obtain the automatically collected information discussed above and to engage in analysis, auditing, research, and reporting. These third parties may use web logs or web beacons, and they may set and access cookies on your computer or other device. In particular, our website uses Google Analytics to help collect and analyse certain information for the purposes discussed above. You may opt out of the use of cookies by Google Analytics here.

We may also disclose personal information to competent authorities, courts and bodies in response to a court order, summons or subpoena, regulatory requests, or as permitted or required by law when we reasonably believe it is necessary or appropriate to investigate, prevent or take action against illegal activities, suspected fraud, or situations involving potential threats to the physical safety of any person.

We may disclose your personal information to any third party that acquires, or is interested in acquiring, all or part of our assets or shares, or that succeeds us in carrying on all or part of our business.

How Information Is Safeguarded

We have technical, physical and administrative safeguards in place that we believe are reasonably designed to protect the security and confidentiality of your information. These include storage of data on servers in secure facilities, systems to monitor intrusions on our networks and devices, confidentiality agreements with companies we hire to help us provide services, password-protected user access to our computer files, and strict confidentiality policies that apply to all PGF personnel. Individuals have the right to access their own personal information at any time.

Retention of your Information

We retain personal information as long as it is necessary and relevant for our business. In particular, we retain website usage information only for as long as necessary to monitor the use of our website and generate aggregate reports regarding visitors. We retain your contact information for as long as necessary to maintain contact with you. The criteria used to determine the retention periods include: (i) how long the personal information is needed to provide the services and operate the business; (ii) the type of personal information collected; and (iii) whether we are subject to a legal, contractual or similar obligations to retain the personal information (e.g., mandatory data retention laws, government orders to preserve data relevant to an investigation, or data that must be retained for the purposes of litigation or disputes). We retain biometric data for no longer than 6 months after the last time you interacted with or used the services.

Links to Other Websites and Services

This Privacy Policy applies only to PGF services. Our website may contain links to other websites that are not operated or controlled by PGF. We do not control such third-party websites or their privacy practices. Any personal information you choose to give to third party websites is not covered by this privacy policy.

Minors

The PGF website is not intended to be used by anyone under the age of 18. If you are under the age of 18, please do not submit any personal information to PGF. If a parent or guardian becomes aware that his or her child under the age of 18 has provided us with personal information, please contact us at the contact information below, and we will terminate the account and delete such information from our files. Additionally, if we become aware at any point that a minor under the age of 18 is using our service, we may terminate the account and delete such information from our files.

Changes to the Policy

We may change this privacy policy from time to time, and we will notify you of any material changes as required by law. Any changes to the policy will become effective immediately after being posted. We encourage you to periodically review the policy to stay informed of changes and on how we are protecting your personal information.
